LAURA LOBIANCO SWORD

Laura LoBianco Sword is a transactional attorney with experience representing an array of clients, from individuals and start-ups to multi-national firms and public companies, in business, regulatory and strategic matters.   In addition to her duties as a partner in Sword Law, Laura currently serves as counsel and policy advisor to New York State Assemblyman Matthew Titone and as campaign manager for Congressional candidate Steve Harrison.

Laura has advised clients from a variety of industries, including professional service providers, tech companies and
non-profit organizations, in connection with every aspect of their business dealings, ranging from formation, debt and equity funding and day-to-day operational matters to major transactions such as mergers, acquisitions, public offerings and asset sales.  

Prior to forming Sword Law, Laura served as General Counsel for Alliance Services at BDO Seidman, LLP, an international accounting firm with thirty U.S. offices. During her time with BDO, Laura was responsible for all legal work relating to the firm’s strategic alliance program, including all matters involving federal and state regulatory compliance. A major element of her work related to restructuring BDO’s alliance program, a project that saved the firm hundreds of thousands of dollars annually and helped the alliance program more than double in size.  

Before her tenure at BDO, Laura practiced law as a member of the corporate department at Proskauer Rose LLP, where her practice included representing major telecommunications companies, various technology start-ups and one of the country’s largest real estate developers.  

Laura also has over sixteen years of experience in politics and has served in many capacities, ranging from volunteer to treasurer to consultant on statewide and local campaigns.  Laura provides candidates and political organizations with strategic advice and legal counsel with respect to campaign finance rules, board of elections requirements and policy matters.    

As a partner in Sword Law, Laura uses her experience in law, business and politics to bring a tactical approach to her work for her clients.  Laura’s principal areas of focus are helping individuals cultivate new business opportunities and representing small and mid-size businesses as they develop, refine and implement their growth strategies. She regularly counsels her clients in areas of entity formation, business structure, contract negotiation and drafting, commercial leases and employment/human resource matters.

Laura vast expertise with strategic alliances and joint ventures enables her to guide her small and mid-size clients in taking advantage of such structures and arrangements to effectively compete against much larger companies.

In the accounting industry, Laura’s ability to balance the ambitious business objectives of her clients with the legal realities of doing business in a post-Enron world give her a unique ability to provide her clients with creative solutions enabling them to accomplish their goals while complying with applicable regulatory structures and legal requirements.  

Laura currently serves as Vice Chair of the board of directors of Community Health Action of Staten Island, a non-profit agency which provides, among other things, HIV and AIDS prevention and care.  She also sits on the Board of Directors of ART LAB, a non-profit agency dedicated to making art more accessible to people from all walks of life.  In addition, Laura serves as the Financial Secretary for the Democratic Organization of Richmond County and on the executive board of the Democratic Party of Richmond County, where she previously served as the party’s deputy law chair.

Laura earned her J.D. summa cum laude from Brooklyn Law School, which she attended as a Richardson Scholar at night while working as a paralegal during the day. As a law student, Laura received numerous honors and awards, served as an associate editor of the Brooklyn Law Review and was a member of the Moot Court Honor society.
